Torco Enterprise Inc., a California corporation, hereinafter referred to as "Seller", the seller of rebuilt torque converters, hereby warrant it for 1 year or 12,000 miles, whichever occurs first under normal operating condition, against defects in material and factory workmanship providing the proper installation methods are followed. This warranty is limited to the replacement of the torque unit purchased by you which fails during the warranty period. All claims will be disallowed if the unit has been altered or tampered with prior to our inspection. Under no circumstances will we accept any charge for repairs to an alleged defective unit, and under no circumstances will we be liable for oil, towing charge, or time lost while unit is out of operation. THIS WARRANTY IS STRICTLY LIMITED TO THE REPLACEMENT OF THE DEFECTIVE UNIT, UPON OUR INSPECTION.
All alleged defective units must be returned to our factory in Commerce, California, freight prepaid, before credit will be allowed, and the returned merchandise must be accompanied by a packing slip indicating the shipper and the invoice number when originally invoiced. No exceptions. Any part claimed defective must be returned prepaid for inspection with a full explanation of the defect claimed and condition under which it was installed and operated. Claims for labor and any and all other consequential damages will not be honored, our liability being limited strictly to the replacement of such parts of our rebuilt that shall have been proven, in our judgement, to be defective or improperly installed.
All prices are subject to change without notice. Merchandise returns are not permitted without authorization. Returned merchandise transportation charge must be prepaid. Parts ordered in error must be returned within 7 days from date of purchase and will be subject to a 25 percent handling charge. It is acknowledge by the Seller and Buyer that all contracts and agreements pertaining to the sale of the torque converters occurred at the business location of Torco Enterprise Inc. and the courts of Los Angeles County shall have the jurisdiction over any disputes arising out of such transaction. If a dispute were to arise out of the transaction between Torco Enterprise Inc. and any then buyer, individual or entity, the prevailing party shall be entitled to attorney's fee and costs incurred by such party.
LIMITATION OF DAMAGES OR REMEDIES
If seller breaches or repudiates this contract, Buyer shall not be entitled to recover any consequential damages as define in the Uniform Commercial Code. If Seller breaches or repudiates this contract, Buyer shall not be entitled to recover any incidential damage as that term is defined in Commercial Code Section 2715. If is acknowledge by the Seller and the Buyer that all contract and agreements pertainning to the sale of the torque converters occurred at the business location of Torco Enterprise Inc. and any the courts of Los Angeles County shall have the jurisdiction over any disputes arising out of such transaction. If a dispute were to arise out of the transaction between Torco Enterprise Inc. and then any buyer, individual, or entity, the prevailing party shall be entitled to attorney's fees and costs incurred by such party.
